Terms of Service

1. Acceptance of Terms

By creating an account or using KivoDesk ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including free and paid plan subscribers.

2. Description of Service

KivoDesk is a business management platform that provides invoicing, quotation management, expense tracking, member attendance, leave management, and statutory payroll processing for India (EPF, ESI, TDS, Professional Tax). The Service is provided "as is" and may evolve over time.

3. Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate information when creating your account and keep it up to date.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account at hello@kivodesk.com.
• You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose.
• Create false invoices, fraudulent salary slips, or misrepresent financial data.
• Attempt to gain unauthorised access to any part of the platform or another user's account.
• Reverse-engineer, decompile, or scrape the Service.
• Introduce malware, viruses, or any harmful code.
• Resell or sublicense access to the Service without written consent.

5. Subscription & Billing

KivoDesk offers free and paid subscription plans. Paid plans are billed in advance. All payments are processed securely through Razorpay. Prices are listed on the pricing page and are subject to change with 30 days' notice.

Early Access: During the early-access period, users who sign up within the announced user cap receive full access free of charge for two (2) years from the date of account creation. After that period, continued use may require a paid subscription at then-current rates unless we notify you otherwise.

Refunds: Subscription fees are non-refundable except where required by applicable law. If you cancel, you retain access until the end of the billing period.

6. Data Accuracy & Tax Compliance

KivoDesk provides payroll calculations as a convenience tool based on the information you enter. We make reasonable efforts to keep tax rates and statutory deduction rules current, but we are not a tax advisor. You are solely responsible for verifying the accuracy of tax computations, filing statutory returns (TDS, EPF, ESI, etc.), and complying with all applicable laws. KivoDesk shall not be liable for penalties, interest, or losses arising from incorrect data entry or regulatory changes not yet reflected in the platform.

7. Intellectual Property

All software, design, branding, and content comprising KivoDesk is owned by or licensed to us and protected by applicable intellectual property laws. You retain ownership of all data and content you create within the platform (invoices, member records, etc.).

8. Limitation of Liability

To the maximum extent permitted by law, KivoDesk and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹1,000 / $12 USD, whichever is greater.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, upgrades, or unforeseen technical issues may temporarily affect the Service. We will endeavour to notify users in advance of planned downtime.

10. Termination

You may delete your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk, with or without notice. Upon termination, your access to the Service ceases. You may request an export of your data prior to termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance.
